Job Purpose Provide comprehensive legal and commercial support to IMKAN across its real estate development, investment, corporate, and commercial activities. The role will advise internal stakeholders on transactions, contracts, corporate structuring, governance, regulatory matters, disputes, and legal risk, ensuring that business objectives are achieved while protecting IMKAN’s legal and commercial interests. Key Responsibilities * Provide legal advice across real estate development, investment, corporate and commercial matters. * Draft, review and negotiate development agreements, JVs, shareholders’ agreements, SPAs, MOUs, consultancy agreements, construction-related agreements, NDAs and other commercial contracts. * Support land acquisitions, disposals, joint ventures, partnerships and other strategic transactions. * Advise on corporate structuring, SPVs, subsidiaries, shareholder arrangements, governance and restructuring. * Identify contractual and transactional risks and provide practical, commercially focused recommendations. * Review tender/RFP documentation and advise on contractual obligations, risk allocation and compliance. * Provide legal guidance throughout the project lifecycle, from acquisition and feasibility through development, construction, sales and handover. * Advise on applicable UAE laws, regulations, licensing and regulatory requirements, including real estate-related matters. * Support the business on claims, disputes, settlement negotiations and arbitration, coordinating with external counsel where required. * Prepare and review legal notices, resolutions, board/shareholder documentation and other corporate records. * Work closely with Development, Projects, Commercial, Finance, Procurement, Sales and other functions to provide timely legal advice. * Coordinate with external lawyers and consultants and manage legal matters to ensure quality, cost-effectiveness and timely resolution. * Conduct legal research and keep management informed of relevant legislative and regulatory developments. Prepare Arabic-English bilingual legal documentation where required. Qualifications and Experience * Bachelor’s degree in Law; LL.M. or equivalent postgraduate qualification is an advantage. * 8–10+ years of relevant legal experience, preferably with a UAE-based real estate developer, investment company, leading law firm, or major corporate. * Strong experience in UAE corporate and commercial law, with exposure to real estate/development transactions. * Demonstrated experience in JVs, shareholder arrangements, corporate structuring and complex commercial contracts. * Experience handling contractual disputes, claims, arbitration and external counsel management. * Strong understanding of UAE regulatory and corporate requirements. * UAE legal experience is mandatory; Abu Dhabi experience is preferred. * Arabic and English proficiency is highly desirable. * Strong drafting, negotiation, analytical and stakeholder-management skills. * Commercially minded with the ability to provide clear, practical and business-oriented legal advice.
